Terms of Service

These Terms form an agreement between Upperdoc, a software service operated from Ireland, and the person or organisation using the service. By creating an account, you confirm that you are at least 18, are using Upperdoc for business purposes, and have authority to bind the organisation you identify during signup.

If you do not agree to these Terms, do not create an account or use a non-public part of the service.

Upperdoc is currently an early-access product. Features, limits, integrations, and workflows may change. We may correct, replace, suspend, or remove a feature as the product develops. We will try to avoid unnecessary disruption and communicate material changes that affect active customers.

No service-level agreement or guaranteed uptime, response time, recovery time, or feature availability applies unless agreed separately in writing.

The public demo uses fictional information and does not require an account. Eligible business users may start a 14-day trial without providing a payment card. A trial does not automatically become a paid subscription and you will not be charged unless you separately choose a paid plan and complete checkout.

We may limit trial workspaces, users, clients, requests, storage, email volume, or features and may refuse or end a trial where reasonably necessary to prevent misuse or protect the service.

You must provide accurate account information, keep credentials confidential, use reasonable security measures, and promptly notify us at support@upperdoc.io if you suspect unauthorised access. You are responsible for activity performed through accounts controlled by your organisation, except to the extent caused by Upperdoc's breach of these Terms or applicable law.

You and your organisation retain ownership of documents, client information, request content, branding, and other material submitted to Upperdoc. You grant Upperdoc a limited, non-exclusive permission to host, copy, transmit, display, and otherwise process that content only as reasonably necessary to provide, secure, support, and maintain the service.

You confirm that you have the rights, permissions, and lawful basis required to submit the content and invite clients or colleagues. Keep independent copies of important original documents during early access.

Unless Upperdoc agrees otherwise in writing, do not upload payment-card data, passwords, API keys, government identity documents, health information, criminal-offence data, or other highly sensitive or specially regulated information. Do not use Upperdoc where a sector-specific law or professional rule requires controls that we have not expressly agreed to provide.

You must not:

• use Upperdoc unlawfully, deceptively, or to infringe another person's rights;
• upload malware or attempt to bypass authentication, limits, or access controls;
• probe or test vulnerabilities without prior written permission;
• send spam or collect documents from people without proper authority;
• resell, reverse engineer, or disrupt the service except where law permits it.

Our Privacy Policy explains how we handle account, trial, booking, billing, and service information. When Upperdoc processes personal data contained in customer content on your organisation's behalf, your organisation is responsible for its instructions, notices, permissions, lawful basis, and responses to the people concerned.

A separate data processing agreement may be required before broader production use or the submission of regulated personal information.

Upperdoc relies on third-party infrastructure and may link to services such as Calendly and Stripe. Their services are governed by their own terms. We are not responsible for a third-party service outside our reasonable control, but we remain responsible for our own obligations under applicable law.

Early-access support is provided on a reasonable-efforts basis through support@upperdoc.io. We may suspend access where reasonably necessary to address a security risk, unlawful use, material breach, or threat to other users or the service.

You may stop using Upperdoc at any time and request account deletion. When an account or trial ends, access may stop and customer content may be deleted after a limited wind-down and backup-rotation period, subject to legal retention requirements. Export or retain important information before ending use.

Upperdoc and its licensors own the service, software, visual design, documentation, trademarks, and related intellectual property, excluding customer content. Feedback may be used to improve Upperdoc without obligation, provided we do not publicly identify you without permission.

To the maximum extent permitted by law, Upperdoc is provided on an early-access and as-available basis. We do not promise that it will be uninterrupted or error-free. Upperdoc is a document-workflow tool and does not provide legal, accounting, tax, or other professional advice. You remain responsible for professional decisions and review of documents.

Nothing in these Terms excludes liability that cannot legally be excluded, including liability for fraud or fraudulent misrepresentation. Subject to that rule, neither party will be liable for indirect or consequential loss, loss of profit, loss of anticipated savings, or loss arising from information that the customer was responsible for backing up.

To the maximum extent permitted by law, Upperdoc's total aggregate liability arising from the service or these Terms will not exceed the fees paid to Upperdoc for the service during the 12 months before the event giving rise to the claim, or €100 where no fees were paid. This section does not reduce rights that applicable law does not allow the parties to limit.

These Terms are governed by Irish law. The courts of Ireland will have jurisdiction, subject to any mandatory rights or jurisdiction rules that apply. Before starting formal proceedings, the parties should first try in good faith to resolve the issue through direct discussion.

We may update these Terms as Upperdoc develops. The date at the top identifies the current version. We will provide reasonable notice of material changes to active users. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law; when appropriate, we will request fresh acceptance.
